These Terms of Service ("Terms") govern your use of the website at xactsystemscomposting.com (the "Website"), the products and services offered by Xact Systems Composting, a trade name of X-ACT Systems Inc. (referred to in these Terms as "we", "us", or "our"), and any communications you receive from us, including telephone calls, emails, and text messages. By using the Website or communicating with us, you agree to these Terms. If you do not agree, please do not use the Website or our services.

We design, manufacture, and supply composting systems and related products and services. The Website provides product information, support resources, and a way to request quotes and contact us.

2. Use of the Website

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of it. You agree not to:

attempt to gain unauthorized access to the Website, our systems, or any account;
interfere with the security or integrity of the Website;
use any automated means (such as scrapers, bots, or robots) to access the Website without our prior written permission;
transmit any virus, malware, or other harmful code;

"Xact Systems Composting" and our associated logos and product names are trademarks of X-ACT Systems Inc. Other trademarks displayed on the Website are the property of their respective owners.

4. Quotes, orders, and product information

Information about products and services on the Website is provided for general information only. While we make every reasonable effort to keep that information accurate and current, we do not warrant that all product descriptions, pricing, availability, or other content on the Website is complete, current, or error-free.

Any quote, proposal, or estimate we provide is subject to our acceptance of your order and to any specific written terms agreed between us. The contract for the sale of any product or service is formed only when we accept your order in writing.

5. Messaging program (SMS / text messages)

By providing your mobile telephone number to us — for example, by submitting a form on the Website that includes a phone number and SMS-consent checkbox, or by texting us first — you may receive text messages from us. The terms of our messaging program are set out below.

5.1 Opt-in and types of messages

We send text messages only after you have expressly opted in by ticking the SMS-consent checkbox on our contact form. We use this number for non-marketing / transactional messages only, including:

replies to inquiries you have submitted to us;
appointment confirmations, reminders, and rescheduling messages;
service or order updates;
customer-care follow-ups, including responses to questions and follow-ups on quote requests.

We do not send marketing or promotional messages from this number.

5.2 Opt-out and HELP

You can cancel the SMS service at any time. Just text "STOP" to +1 888-646-9228. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. 5.3 Carrier liability

Carriers are not liable for delayed or undelivered messages.

5.4 Message frequency and rates

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive messages on an as-needed basis (typically a few messages per month, frequency may vary based on your inquiry or service activity). If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

6. Email communications

If you provide your email address to us, you may receive transactional emails (such as replies to your inquiries and quote or service updates) and, where you have given consent, marketing emails. You can unsubscribe from marketing emails at any time by clicking the "unsubscribe" link in any marketing email or by contacting us at [email protected].

7. Disclaimers

The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, X-ACT Systems Inc. disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted access.

We do not warrant that the Website will be free of errors, viruses, or other harmful components, that defects will be corrected, or that the Website will be available at any particular time or location.

Nothing in these Terms limits or excludes any warranty, condition, or liability that cannot be limited or excluded under applicable law (including the Consumer Protection Act, 2002 (Ontario) where it applies).

8. Limitation of liability

To the fullest extent permitted by applicable law, in no event shall X-ACT Systems Inc., its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption, arising out of or in connection with your use of the Website or our services, whether based in contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising out of or in connection with these Terms, the Website, or our services is limited to the greater of (a) the amount you paid to us, if any, for the product or service giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

9. Indemnification

You agree to indemnify and hold harmless X-ACT Systems Inc. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Website, (b) your breach of these Terms, or (c) your violation of any law or any rights of a third party.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Website will be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts.

If you live outside Canada, this does not deprive you of any mandatory protections of the consumer-protection laws of your home jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of these Terms indicates when they were most recently revised. Your continued use of the Website after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Website.
